TERMS OF USE

  1. INTRODUCTION AND ACCEPTANCE

1.1. Welcome to propfitable.com (the “Platform”). The Platform is owned and operated by Propfitable Solutions LLP, a limited liability partnership incorporated under the laws of India, having its registered office at, Maharashtra, India (hereinafter referred to as “We”, “Us”, “Our”, or the “Company”).

1.2. These Terms of Use (“Terms” or “ToU”), along with Our Privacy Policy , Cookie Policy (cookie policy), and Disclaimer (Disclaimer), which are incorporated herein by reference, govern Your access to and use of the Platform and the services offered thereon (collectively, the “Services”).

1.3. By accessing, browsing, registering on, or using the Platform or Services in any manner, You (“User”, “You”, “Your”) signify that You have read, understood, and agree to be bound by these Terms. If You do not agree with these Terms, You must immediately cease using the Platform and Services.

1.4. We reserve the right to amend these Terms at any time. We will notify You of significant changes by posting the revised Terms on the Platform or through other communication channels. Your continued use of the Platform after such changes constitutes Your acceptance of the amended Terms. It is Your responsibility to review these Terms periodically.

  1. DEFINITIONS

2.1. “Applicable Law” means all statutes, enactments, acts of legislature or parliament, laws, ordinances, rules, bye-laws, regulations, notifications, guidelines, policies, directions, directives, and orders of any governmental authority, tribunal, board, or court in India.

2.2. “Company”, “We”, “Us”, “Our” shall mean Propfitable Solutions LLP.

2.3. “Content” means any data, text, information, listings, descriptions, reviews, comments, images, videos, graphics, software, logos, trademarks, and other materials available on or through the Platform, whether posted by Us or by Users.

2.4. “Cookie Policy” means Our cookie policy available at Cookie Policy, as amended from time to time.

2.5. “Disclaimer” means Our disclaimer available at, as amended from time to time.

2.6. “DPDPA” means the Digital Personal Data Protection Act, 2023, and rules made thereunder.

2.7. “Intermediary” has the meaning ascribed to it under the Information Technology Act, 2000.

2.8. “IT Act” means the Information Technology Act, 2000, and rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended.

2.9. “LLP” means Propfitable Solutions LLP.

2.10. “MahaRERA” means the Maharashtra Real Estate Regulatory Authority.

2.11. “Personal Data” has the meaning ascribed to it under the DPDPA.

2.12. “Platform” means the website located at propfitable.com, associated mobile applications (if any), and any other platform operated by the Company.

2.13. “Privacy Policy” means Our privacy policy available at Privacy Policy, as amended from time to time.

2.14. “RERA” means the Real Estate (Regulation and Development) Act, 2016, and rules made thereunder.

2.15. “Services” means the property listing, search, discovery, communication, and related services provided through the Platform.

2.16. “User” or “You” means any person who accesses, browses, registers on, or uses the Platform or Services, including property seekers, property owners, developers, real estate agents, brokers, builders, and other individuals or entities.

2.17. “User Content” means any Content submitted, posted, uploaded, or otherwise made available on the Platform by a User, including property listings, reviews, comments, messages, and profile information.

  1. USER ACCOUNTS & REGISTRATION

3.1. Eligibility: You must be at least 18 years of age and competent to enter into a legally binding contract under Applicable Law to register for an account and use the Services. By registering, You represent and warrant that You meet these eligibility requirements.

3.2. Registration Data: You agree to provide true, accurate, current, and complete information about Yourself as prompted during the registration process (“Registration Data”). You agree to maintain and promptly update the Registration Data to keep it true, accurate, current, and complete.

3.3. Account Security: You are solely responsible for maintaining the confidentiality of Your account password and for all activities that occur under Your account. You agree to immediately notify the Company of any unauthorized use of Your account or any other breach of security. The Company shall not be liable for any loss or damage arising from Your failure to comply with this section.

3.4. Account Types: We may offer different types of accounts (e.g., for property seekers, owners, agents, developers) with varying features and functionalities. Specific terms may apply to different account types.

  1. PERMITTED USE & LICENSE

4.1. Subject to Your compliance with these Terms, the Company grants You a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Services solely for Your personal, non-commercial use (if You are a property seeker) or for Your legitimate business purposes related to listing, marketing, or finding properties (if You are an owner, agent, or developer), in accordance with these Terms.

4.2. This license does not include any right to resell, redistribute, or commercially exploit the Platform or its Content, except as expressly permitted herein or through specific paid services offered by the Company.

  1. USER OBLIGATIONS & CONDUCT

5.1. Compliance with Laws: You agree to use the Platform and Services in compliance with all Applicable Laws, including but not limited to the IT Act, DPDPA, CPA, RERA, and any other relevant regulations.

5.2. Accuracy and Legality of User Content: You are solely responsible for all User Content that You submit, post, or display on the Platform. You represent and warrant that You have all necessary rights, licenses, consents, and permissions to submit such User Content and that Your User Content does not violate any Applicable Law or infringe upon the rights of any third party (including intellectual property rights, privacy rights, or publicity rights). You further warrant that all information provided in Your User Content, particularly in property listings, is accurate, complete, and not misleading.

5.3. RERA Compliance (for Listers): If You are a real estate developer, promoter, agent, or any other User listing properties for sale or rent on the Platform that are subject to RERA, You represent and warrant that:

  1. a) You are duly registered under RERA, if applicable.
  2. b) Your listings and any associated advertisements comply fully with RERA and the rules and regulations of the relevant state RERA authority, including MahaRERA for properties located in Maharashtra.
  3. c) You will accurately provide the valid RERA registration number for each applicable project/property listed.
  4. d) For properties located in Maharashtra, You will provide the accurate MahaRERA registration number and a valid, scannable QR code linking to the project’s page on the MahaRERA website, and You consent to the display of this information on the Platform in a manner compliant with MahaRERA directives.
  5. e) You will promptly update Your listings to reflect any changes in RERA registration status or project details.
  6. f) You acknowledge that the Company relies on the accuracy of the RERA information You provide and that You are solely liable for any non-compliance with RERA or MahaRERA advertising requirements.

5.4. Policy Compliance: You agree to comply with these Terms, the Privacy Policy, the Cookie Policy, the Disclaimer, and any other guidelines or rules published by the Company on the Platform.

5.5. Platform Integrity: You agree not to interfere with or disrupt the Platform or Services, or the servers or networks connected to them.

  1. PROHIBITED ACTIONS

6.1. You agree not to engage in any of the following prohibited activities in connection with Your use of the Platform or Services:

  1. a) Violating any Applicable Law or regulation.
  2. b) Posting, uploading, or transmitting any User Content that:
  3. Belongs to another person and to which You do not have any right;
  4. Is defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, relating or encouraging money laundering or gambling, or otherwise inconsistent with or contrary to the laws in force;

iii. Is harmful to children;

  1. Infringes any patent, trademark, copyright, or other proprietary rights;
  2. Violates any law for the time being in force;
  3. Deceives or misleads the addressee about the origin of the message or knowingly and intentionally communicates any information which is patently false or misleading in nature but may reasonably be perceived as a fact (“Misinformation”);

vii. Impersonates another person;

viii. Threatens the unity, integrity, defence, security or sovereignty of India, friendly relations with foreign States, or public order, or causes incitement to the commission of any cognisable offence or prevents investigation of any offence or is insulting other nation;

  1. Contains software virus or any other computer code, file or program designed to interrupt, destroy or limit the functionality of any computer resource;
  2. Is patently false and untrue, and is written or published in any form, with the intent to mislead or harass a person, entity or agency for financial gain or to cause any injury to any person.
  3. c) Using the Service for any unlawful purpose, including criminal purposes.
  4. d) Sending or receiving messages that are offensive on moral, religious, racial, or political grounds, or are abusive, indecent, obscene, defamatory, or menacing.
  5. e) Engaging in unauthorized commercial use of the Service, including reselling access or Content without prior written approval.
  6. f) Sharing Your account access with unauthorized persons.
  7. g) Printing, downloading, duplicating, copying, deleting, varying, amending, or using any data or Personal Data posted by other Users, except as necessary for using the Services as intended.
  8. h) Using any automated means, including spiders, robots, crawlers, data mining tools, or the like to download, scrape, or extract data from the Platform, except for internet search engines (e.g., Google) and non-commercial public archives (e.g., archive.org) that comply with our robots.txt file.
  9. i) Attempting to gain unauthorized access to the Platform, other User accounts, or computer systems or networks connected to the Platform through hacking, password mining, or any other means.
  10. j) Violating or attempting to violate the security of the Platform.
  11. k) Engaging in any form of spamming or transmitting unsolicited communications.
  12. l) Selling Your listing to a third party.
  13. m) Making any unauthorized use of the Company’s trademarks, logos, or other intellectual property.
  14. n) Taking any action that imposes an unreasonable or disproportionately large load on the Platform’s infrastructure.
  15. CONTENT MODERATION & TAKEDOWN

7.1. You acknowledge that the Company, as an Intermediary under the IT Act, has the right (but not the obligation) to monitor User Content.

7.2. We reserve the right, in Our sole discretion, to refuse, remove, edit, or disable access to any User Content that We believe violates these Terms or any Applicable Law, or is otherwise objectionable, without prior notice.

7.3. We will comply with valid orders from courts or notifications from government agencies under Applicable Law requiring the removal or disabling of access to specific User Content.

7.4. We will act upon complaints received through Our Grievance Redressal mechanism regarding User Content violating Rule 3(1)(b) of the IT Rules, in accordance with the timelines stipulated therein.

  1. INTELLECTUAL PROPERTY RIGHTS

8.1. Company IP: All rights, title, and interest in and to the Platform and Services, including all Content provided by the Company (excluding User Content), software, code, designs, graphics, logos, trademarks, service marks, and the overall look and feel, are and will remain the exclusive property of the Company and its licensors. These Terms do not grant You any right, title, or interest in the Platform or Company Content, except for the limited license granted in Section 4.

8.2. User Content License: By submitting User Content to the Platform, You grant the Company a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, host, store, reproduce, modify, adapt, create derivative works from, communicate, publish, publicly perform, publicly display, and distribute such User Content in connection with operating, providing, promoting, and improving the Platform and Services, and developing new ones.

8.3. Third-Party IP: We respect the intellectual property rights of others. If You believe that Your intellectual property rights have been infringed on the Platform, please contact Our Grievance Officer with the required details.

  1. FEES & PAYMENTS (IF APPLICABLE)

9.1. Access to basic features of the Platform may be free. However, We may offer premium features, subscription plans, or specific services (e.g., enhanced listings, advertising packages) for a fee.

9.2. Applicable fees, payment terms, and refund policies (if any) for such paid services will be communicated to You at the time of purchase or subscription and shall form part of these Terms.

9.3. You are responsible for paying all applicable fees and taxes associated with Your use of paid Services in a timely manner with a valid payment method. Failure to pay may result in suspension or termination of Your access to paid Services.

  1. DISCLAIMERS

10.1. “As Is” Basis: THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

10.2. No Warranty: THE COMPANY DOES NOT WARRANT THAT THE PLATFORM OR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE PLATFORM OR SERVICES, INCLUDING PROPERTY LISTINGS, USER REVIEWS, OR ANY INFORMATION PROVIDED BY USERS OR THIRD PARTIES.

10.3. Intermediary Status: THE COMPANY IS AN INTERMEDIARY AS DEFINED UNDER THE IT ACT. WE PROVIDE A PLATFORM TO CONNECT USERS AND FACILITATE THE DISPLAY OF PROPERTY-RELATED INFORMATION. WE ARE NOT A REAL ESTATE AGENT, BROKER, OR DEVELOPER UNLESS EXPLICITLY STATED. WE ARE NOT A PARTY TO, NOR DO WE CONTROL IN ANY MANNER, ANY TRANSACTION OR COMMUNICATION BETWEEN USERS. WE DO NOT ENDORSE ANY USER, PROPERTY, OR USER CONTENT.

10.4. User Responsibility: YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS WITH OTHER USERS AND FOR ANY DECISIONS YOU MAKE BASED ON INFORMATION OBTAINED THROUGH THE PLATFORM. WE STRONGLY ADVISE YOU TO CONDUCT YOUR OWN INDEPENDENT DUE DILIGENCE AND VERIFICATION BEFORE ENTERING INTO ANY AGREEMENT OR TRANSACTION.

10.5. RERA Disclaimer: While We require Users listing properties subject to RERA to comply with its provisions, including providing accurate registration details for Maharashtra properties as per MahaRERA rules, the Company does not independently verify all RERA compliance details for every listing. Information related to RERA provided on the Platform is based on User submissions. Users are advised to verify RERA details independently through official RERA authority websites. The Company disclaims any liability arising from non-compliance with RERA by Users listing properties on the Platform.

10.6. Third-Party Links: The Platform may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources, or links displayed on such sites.

  1. LIMITATION OF LIABILITY

11.1. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING OUT OF OR IN CONNECTION WITH:

  1. a) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE PLATFORM OR SERVICES;
  2. b) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM, INCLUDING OTHER USERS;
  3. c) ANY CONTENT OBTAINED FROM THE PLATFORM;
  4. d) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR
  5. e) ANY OTHER MATTER RELATING TO THE PLATFORM OR SERVICES.

11.2. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE COMPANY AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE GREATER OF: (I) THE AMOUNT OF FEES PAID BY YOU TO THE COMPANY FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (II) ONE THOUSAND INDIAN RUPEES (INR 1000).

11.3. The limitations and exclusions in this section apply even if any remedy fails its essential purpose.

  1. INDEMNIFICATION

12.1. You agree to defend, indemnify, and hold harmless the Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from:

  1. a) Your use of and access to the Platform and Services;
  2. b) Your violation of any term of these Terms;
  3. c) Your violation of any third-party right, including without limitation any copyright, property, privacy, or publicity right;
  4. d) Any claim that Your User Content caused damage to a third party; or
  5. e) Your violation of any Applicable Law, including RERA/MahaRERA if applicable.
  6. TERMINATION

13.1. By Company: We may, in Our sole discretion, suspend or terminate Your account and access to the Platform and Services, with or without cause or notice, for any reason, including, without limitation, if We believe You have violated these Terms or Applicable Law.

13.2. By You: You may terminate Your account at any time by contacting Us or using the account deletion feature, if available.

13.3. Effect of Termination: Upon termination, Your right to use the Platform and Services will immediately cease. We may delete Your account and User Content. Provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

  1. GRIEVANCE REDRESSAL

14.1. In accordance with the IT Act and the Consumer Protection (E-Commerce) Rules, 2020, We have appointed a Grievance Officer to address Your concerns regarding these Terms, the Privacy Policy, User Content, or any other issues related to the Platform or Services.

14.2. The contact details of the Grievance Officer are provided in Our Privacy Policy (Privacy Policy) and are also available on the Platform (Privacy Policy).

14.3. Please refer to Our Privacy Policy for the procedure to file a grievance. We aim to acknowledge complaints within twenty-four (24) hours and resolve them within fifteen (15) days from the date of receipt, or as otherwise required by Applicable Law.

  1. GOVERNING LAW & DISPUTE RESOLUTION

15.1. Governing Law: These Terms and Your use of the Platform and Services shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

15.2. Jurisdiction: Subject to Section 15.3, You agree that any legal action or proceeding arising out of or relating to these Terms or the Services shall be brought exclusively in the competent courts located in Mumbai, Maharashtra, India.

15.3. Arbitration (Optional – Consider adding): [Consider adding an arbitration clause if desired, specifying rules like the Arbitration and Conciliation Act, 1996, seat of arbitration, language, and number of arbitrators.]

  1. MISCELLANEOUS

16.1. Entire Agreement: These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between You and the Company regarding Your use of the Platform and Services, superseding any prior agreements.

16.2. Waiver: The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

16.3. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

16.4. Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without the Company’s prior written consent. Any attempt by You to assign or transfer these Terms without such consent will be null and void. The Company may freely assign or transfer these Terms without restriction.

16.5. Notices: Any notices or other communications provided by the Company under these Terms will be given: (i) via email; or (ii) by posting to the Platform. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
